Associate Commercial Counsel

UpGuard is seeking an Associate Commercial Counsel for a senior-level legal role located in the USA. Backed by a US$75M Series C, UpGuard develops a Cyber Risk Posture Management platform that integrates security ratings, threat intel, and agentic AI. In this position, you will support a high-velocity sales organization by managing customer-facing negotiations and modernizing contracting practices for North American and EMEA go-to-market teams.

Key Responsibilities for the Associate Commercial Counsel

• Execute commercial deals by drafting, negotiating, and advising on standard B2B SaaS agreements such as NDAs, Master Agreements, DPAs, and channel agreements, while managing legal intake for RFPs and questionnaires.
• Manage contract lifecycles through data entry, document auditing, metadata tagging, and tracking post-execution obligations to maintain a reliable legal repository.
• Drive legal operations by refining negotiation playbooks, clause libraries, and tech stacks including Ironclad, DealHub, HubSpot, Asana, and DocuSign.
• Partner cross-functionally with Deal Desk, Finance, Revenue Accounting, Sales, and Security teams to align on terms and accelerate deals.
• Provide regulatory and compliance support regarding data privacy laws and industry standards as the company scales.

Requirements and Compensation

Candidates for this senior-level Associate Commercial Counsel position must hold a Masters degree and bring 2+ years of relevant experience. The salary for this role is $1500. You will report directly to the Senior Commercial Counsel, receiving 1:1 guidance while building expertise in commercial transactions, legal operations, and data privacy.
